2. Acceptance of Services
By placing an order or making a payment, the client confirms acceptance of these Terms and Conditions and agrees to cooperate throughout the project duration.
3. Payments
- Projects may require an advance payment before work begins.
- Remaining payments shall be made according to the agreed milestones or payment schedule.
- Delayed payments may result in suspension of services.
- All prices are exclusive of applicable taxes unless otherwise specified.
4. Project Timeline
- Project timelines begin after receiving all required content, approvals, and advance payment.
- Client delays in providing information or approvals may extend the project completion date.
- VNMCloud Technologies is not responsible for delays caused by third-party vendors or service providers.
5. Client Responsibilities
The client agrees to:
- Provide accurate project requirements.
- Submit content, images, logos, and other materials on time.
- Review work and provide timely feedback.
- Ensure ownership or permission for all submitted content.
6. Intellectual Property
- All custom-developed work remains the property of VNMCloud Technologies until full payment is received.
- Upon final payment, ownership of the completed project transfers to the client unless otherwise agreed.
- Third-party software, plugins, themes, APIs, and licenses remain subject to their respective license agreements.
7. Website & Software Development
- Minor revisions are included as agreed in the project scope.
- Additional features or changes requested after project approval may incur additional charges.
- VNMCloud Technologies is not responsible for issues caused by unauthorized modifications made by the client or third parties.
8. Mobile App Development
- Publishing applications to app stores may require developer accounts owned by the client.
- Approval or rejection by Google Play Store or Apple App Store is beyond our control.
- Store policy changes are managed according to the respective platform guidelines.
9. IT Consulting
Consulting services are provided based on industry best practices and available information. Business decisions made by the client remain their sole responsibility.
10. Training Courses
- Training is provided for educational purposes.
- Course completion does not guarantee employment.
- Certificates are issued only after meeting attendance and completion requirements.
- Course fees are generally non-refundable once training has commenced.
11. Internship Programs
- Internships are intended for practical learning and skill development.
- Selection criteria may apply.
- Internship completion certificates are issued upon successful completion of program requirements.
- Internships do not guarantee permanent employment.
12. Confidentiality
Both parties agree to keep confidential any proprietary information, business data, passwords, source code, or sensitive information shared during the course of the project.
13. Third-Party Services
VNMCloud Technologies may integrate third-party services including hosting providers, payment gateways, cloud services, APIs, and software tools. We are not liable for interruptions, policy changes, pricing updates, or service failures caused by these third parties.
14. Refund Policy
- Advance payments are generally non-refundable after work has commenced.
- Refunds, if applicable, will be evaluated on a case-by-case basis.
- No refund will be provided for completed work or delivered digital products.
15. Limitation of Liability
VNMCloud Technologies shall not be liable for any indirect, incidental, special, consequential, or business losses arising from the use of our services or website.
16. Warranty
- We provide reasonable efforts to deliver high-quality services.
- Technical issues reported within the agreed support period will be resolved without additional charges where applicable.
- Warranty does not cover issues caused by third-party modifications, hosting failures, malware, or misuse.
17. Support & Maintenance
Support services are provided according to the selected maintenance plan or project agreement. Requests outside the agreed scope may be billed separately.
18. Privacy
Your information is handled according to our Privacy Policy. We do not sell personal information to third parties.
19. Termination
Either party may terminate the project by written notice. The client remains responsible for payment for all completed work up to the termination date.
20. Governing Law
These Terms and Conditions shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of the competent courts in Uttar Pradesh, India.
21. Changes to Terms
VNMCloud Technologies reserves the right to update or modify these Terms and Conditions at any time. Updated versions will be published on our website.
